Terms of Service

1.1 Eligibility

You must be at least 18 years of age to use the Services and must not be a Prohibited Person. A “Prohibited Person” includes any individual or entity that:

• is subject to applicable economic or trade sanctions;
• is located in, organized in, or resident of a jurisdiction where use of the Services, or of the underlying third-party trading venue, is prohibited or restricted by law; or
• uses the Services in violation of applicable laws or regulations.

You are solely responsible for complying with all applicable laws, including the eligibility requirements of any third-party trading venue you connect to the Services. By using the Services, you represent and warrant that your use is lawful.

1.2 Venue Account Required

Use of trading functionality requires a valid account with a supported third-party trading venue (currently Yellow.pro) maintained in your own name and under that venue’s own terms. Loculus does not create, control, or administer venue accounts.

2.1 What Loculus Is

Loculus provides a software interface and marketplace layer that allows:

• Creators to publish Agents — automated trading strategies expressed as software — together with descriptive and performance-related information;
• Users to browse, evaluate, and activate Agents to trade through the user’s own connected venue account, subject to parameters selected by the user.

2.2 What Loculus Is Not

Loculus:

• is non-custodial: Loculus does not hold, control, or take possession of your funds or digital assets at any time. All assets remain in your own venue account or wallet;
• is not a trading venue, exchange, broker, dealer, money transmitter, or custodian;
• is not an investment adviser, commodity trading advisor, or portfolio manager, and does not provide financial, investment, legal, or tax advice;
• does not originate, endorse, verify, or guarantee any Agent or any Creator, and does not recommend any particular Agent to any particular user.

2.3 Documentation

The Services may include documentation, research materials, explanations, blog posts, analytics, visualizations, leaderboards, and other informational content (“Documentation”). Such Documentation forms part of the Services and is provided for informational purposes only.

2.4 License to Use the Services

Subject to these Terms, Loculus grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your personal or internal use.

Your access to the Services may be interrupted, suspended, or terminated at any time without liability, including for maintenance, updates, security, or operational reasons.

2.5 Restrictions on Use

You agree not to:

• copy, modify, distribute, sell, sublicense, or create derivative works of the Services or of any Agent, except as expressly permitted;
• use bots, scrapers, automation tools, or unauthorized software to access the Services (this restriction does not apply to Agents operating as intended within the Services);
• interfere with system security or functionality;
• bypass safeguards, access controls, or eligibility gating;
• manipulate, or attempt to manipulate, leaderboards, performance metrics, rankings, or competitions, including through wash trading, self-dealing, coordinated trading between accounts, or the use of multiple accounts;
• impersonate others or misrepresent affiliations;
• violate any applicable law or regulation;
• use the Services for fraudulent, abusive, or malicious purposes.

2.6 User Interactions

You are solely responsible for your interactions with other users, including Creators. Loculus is not responsible or liable for disputes between users, or between users and Creators.

3.1 Your Authorization

When you activate an Agent, you knowingly and expressly authorize that Agent to place, modify, and cancel orders on your connected venue account automatically and without per-trade confirmation, within the parameters you select (which may include, where offered, position sizing, risk limits, and asset scope).

Activation of an Agent constitutes your explicit, conscious, and standing instruction for all trades that Agent executes while active. You may deactivate an Agent at any time through the Services; deactivation takes effect prospectively and does not reverse trades already executed or orders already placed.

3.2 Your Responsibility

You are solely responsible for:

• your decision to activate any Agent, and the parameters you set;
• monitoring the activity and performance of active Agents;
• deactivating Agents you no longer wish to run;
• all trades executed by an Agent while activated by you, and all resulting profits, losses, fees, and tax consequences.

3.3 Operational Dependencies

Agent execution depends on third-party infrastructure, including the connected trading venue, network connectivity, blockchain networks, and data feeds. Execution may be delayed, may fail, or may occur at prices different from those anticipated. Deactivation instructions may be subject to processing delays. Loculus does not guarantee continuous, uninterrupted, or error-free operation of any Agent.

4.1 Creator Content

Agents, their strategy logic, and their descriptions are created and controlled by Creators, not by Loculus. Loculus does not audit, verify, or validate the strategy logic of any Agent and makes no representation that any Agent will perform as described.

4.2 Creator Obligations

If you publish an Agent as a Creator, you represent and warrant that:

• you have all rights necessary to publish the Agent and its associated content;
• your Agent descriptions and any performance claims are truthful and not misleading;
• you are not providing personalized investment advice to any user, and you will not hold yourself out as doing so through the Services;
• your Agent does not contain malicious code and is not designed to manipulate markets, metrics, or competitions;
• you are solely responsible for your compliance with all laws applicable to you, including any licensing or registration requirements in your jurisdiction.

Loculus may suspend, delist, or remove any Agent or Creator at its sole discretion, with or without notice.

4.3 Creator Compensation

Creators may receive compensation in connection with the use of their Agents, which may include performance-based components. Where applicable, compensation terms are set out in a separate Creator Agreement between Loculus and the Creator.

4.4 No Fiduciary Relationship

No fiduciary, advisory, agency, partnership, or employment relationship is created between you and Loculus, or between you and any Creator, by use of the Services.

5.1 Source of Performance Data

Performance metrics displayed in the Services (including PnL figures, rankings, and leaderboards) are derived from data made available by the connected trading venue and/or observed account performance. Such data is provided on an “as reported” basis. Loculus does not independently audit performance data and does not guarantee its accuracy, completeness, or timeliness.

5.2 Past Performance

Past performance of any Agent is not indicative of future results. Displayed performance may reflect market conditions that no longer exist, limited track records, survivorship effects, or account-specific factors that will not apply to your account. Your results from running the same Agent may differ materially, including due to your parameters, capital size, timing, fees, and market movement.

7.1 No Financial Advice

Nothing provided through the Services — including Agents, Agent descriptions, performance data, leaderboards, rankings, Documentation, or AI-generated outputs — constitutes financial, investment, legal, or tax advice, or a recommendation or solicitation to buy, sell, or hold any asset. All decisions, including the decision to activate any Agent, are entirely your own responsibility.

7.2 Autonomous Trading Risk

You acknowledge and accept that automated and agentic trading carries significant risk, including that:

• Agents may execute trades at any time while active, including during periods of extreme volatility and while you are not monitoring your account;
• Agents may malfunction, behave unexpectedly, or perform poorly, including in market conditions unlike those in which they previously performed well;
• losses may accumulate rapidly and without per-trade warning;
• risk parameters may not prevent losses, may fail to operate as intended, and may not account for all market scenarios;
• you may lose some or all of the capital in your connected account.

7.3 Competitions and Rewards

Loculus may from time to time operate trading competitions, reward programs, or promotional campaigns. Each such program is subject to its own rules as published within the Services or on official Loculus channels, which form part of these Terms for participants. Loculus may amend competition rules, disqualify participants for manipulation or violation of Section 2.5, and withhold rewards where fraud, abuse, or gaming is suspected. Rewards (including any NFTs or digital assets) are provided as-is, have no guaranteed monetary value, and may be subject to eligibility requirements.

7.4 “AS IS” and “AS AVAILABLE” Disclaimer

The Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied, or statutory. Loculus disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and security.

7.5 General Risk Acknowledgement

You acknowledge and accept that:

• digital assets are volatile and may lose all value;
• blockchain systems and trading venues may fail, fork, halt, or be attacked;
• regulatory changes may affect legality of or access to the Services in your jurisdiction;
• technical errors, hacks, or third-party failures may occur;
• losses may be total and irreversible.

7.6 Third-Party Services

The Services depend on and integrate third-party services, including trading venues, blockchain networks, wallets, execution infrastructure, analytics tools, and data providers. Loculus does not control and is not responsible for third-party services, including the availability, security, or performance of any connected trading venue. Your use of third-party services is governed by their own terms and policies.

7.7 Limitation of Liability

To the maximum extent permitted by law, Loculus shall not be liable for indirect, incidental, consequential, special, or punitive damages, or for any trading losses, lost profits, or loss of digital assets arising from the operation of any Agent or the Services. Any aggregate liability shall not exceed the greater of:

• USD 100; or
• the amount paid by you to Loculus in the six (6) months preceding the claim.

7.8 Indemnification

You agree to indemnify and hold harmless Loculus and its affiliates from any claims, damages, losses, liabilities, or expenses arising from:

• your breach of these Terms;
• your misuse of the Services;
• your activation or publication of any Agent;
• your violation of law or third-party rights.

8.1 Ownership

All rights, title, and interest in the Services, including intellectual property rights, are owned by Loculus or its licensors. Agents and Creator content remain the property of their respective Creators, subject to the license granted to Loculus to host, display, and make them available through the Services. Nothing in these Terms transfers ownership rights to you.

8.2 Feedback

Any feedback, suggestions, or ideas you provide (“Feedback”) become the exclusive property of Loculus. You waive any right to compensation or ownership in such Feedback.

11.1 Updates to These Terms

We may update these Terms from time to time. Your continued use of the Services constitutes acceptance of the updated Terms. Material changes to Section 3 (autonomous execution) will be notified prominently within the Services.

11.2 Suspension and Termination

Loculus may suspend or terminate your access to the Services at its sole discretion, with or without notice. Upon termination, any active Agents associated with your account through the Services will be deactivated prospectively.
